# ExactCov

> ExactCov is an AI-powered covenant extraction and monitoring platform for lenders, private credit funds and credit teams. It parses credit agreements and amendments, extracts every covenant, definition, threshold and test date with clause-level citations, then tracks borrower compliance over time - reconciling compliance certificates, recalculating ratios each test period, and flagging deteriorating headroom before it becomes a breach.

ExactCov is built by the team behind ExactSum (AI bank statement analysis). The platform combines deterministic extraction (for accuracy) with structured covenant modules, so portfolio teams spend less time re-keying spreadsheets and more time managing credit.

Covenant monitoring is not a leveraged-finance niche: every bank loan with maintenance covenants - corporate facilities, CRE loans, asset-based lines, club deals - needs periodic testing against reported financials. Most of this is still tracked in Excel. ExactCov replaces the spreadsheet with a system of record that shows its workings on every number.

## What ExactCov does

- Parses credit agreements (LMA and LSTA style, bespoke bilaterals, scans and digital PDFs) and builds a covenant register automatically
- Codifies definitions: EBITDA add-backs, equity cure rights, clean-up periods, baskets
- Tracks financial covenants: leverage (Net Debt/EBITDA), interest cover, fixed charge cover, DSCR, minimum liquidity, net worth, capex limits, LTV and borrowing base
- Reads compliance certificates and reconciles reported figures against thresholds
- Maintains a reporting obligations calendar and chases borrower deliverables (via the DocuNeat add-on)
- Flags breaches and deteriorating headroom early, with trend charts and alerts
- Keeps a complete breach & waiver log and amendment history per facility
- Exports covenant registers and compliance histories to Excel and PDF (Committee Reports add-on for committee/LP packs)
- Every extracted term and calculated ratio is traceable to the source clause or financial statement line
